Agreement-offer for the provision of auxiliary educational services in the study of foreign languages.

Subject of the Agreement

1.1 The Contractor undertakes to provide educational services, and the Customer undertakes to accept and pay for these educational services.

1.2 Educational services for the study of foreign languages ​​are provided by the Contractor as part of the course, chosen by the Customer on the basis of information, posted on the website of the Contractor – www.ecole.kiev.ua

1.3 The Contractor's website contains information about each individual course, namely: total course duration, number of classes and their duration, Timetable of classes, maximum number of people in the study group, cost and the like.

1.4 Before the start of the provision of services under the Agreement, the Parties undertake to jointly agree on the schedule of classes. The total duration of the course can be changed by agreement of the Parties by concluding an Additional Agreement to the Agreement.

1.5 The implementation of the Agreement in terms of conducting classes in foreign languages ​​may be entrusted to third parties involved by the Contractor – qualified teachers, at the same time, the responsibility for violation of the Agreement in case of involvement of third parties in the provision of services remains with the Contractor.

1.6 Educational services are provided in a group or individually.

Rules for accession to the Treaty

2.1 Accession to the Agreement and acceptance of all its conditions occurs by making payment for educational services, specified in the letter of confirmation of enrollment for training, indicating the details of training, as well as payment details.

2.2 The confirmation letter is sent to the Customer's e-mail and contains:

  • intention of the Party to accede to this Agreement;
  • agree to all its terms;
  • Name, level, the total duration and cost of the selected course of study;
  • class schedule;
  • amount and terms of payment.

Conditions for enrollment in training

3.1 Enrollment in the group of the selected educational direction is subject to the Customer making funds to pay for educational services in accordance with the terms of the section 6 “Terms of acceptance and transfer and payment for services” actual agreement.

Rights of the Parties

4.1 The performer has the right:

4.1.1 Draw up a curriculum and adjust it in terms of changing the scope of the program, the order of its study within, provided by the methodological recommendations for manuals of international publishers, used in the learning process.

4.1.2 Carry out preliminary testing of the Customer, as well as periodic assessments of knowledge, received during the period of study in the chosen program.

4.1.3 Manage class schedule:

  • establish a schedule for the Customer to attend classes at the selected course;
  • change the schedule of the Customer's visit to classes by prior agreement of both Parties in case it is impossible to conduct classes according to the schedule.

4.1.4 To replace the teacher during the term of this Agreement with a specialist of similar qualifications if it is impossible to further provide educational services with the involvement of a person, who previously taught.

4.1.5 Make a decision to disband the group, if it has less 4 human, continuing to comply with the terms of the Agreement. Under this condition, the executor

4.1.6 Exercise other rights, provided by the current legislation of Ukraine.

4.2 The customer has the right:

4.2.1 Receive educational services on time and with high quality.

4.2.2 Receive from the Contractor full information about the organization and implementation of educational services.

4.2.3 Receive a school certificate of completion of the course in case of successful completion of the final test.

4.2.4 Exercise other rights and obligations, provided by the current legislation of Ukraine.
Duties of the parties

5.1 The Contractor is obliged:

5.1.1 Create proper conditions for the provision of educational services, namely:

  • timely provide the Customer with information regarding the organization and conduct of classes as part of the provision of educational services;
  • appoint an experienced teacher to conduct classes;
  • provide the Customer with the necessary literature on a paid or free basis.

5.1.2 Familiarize the Customer with the Training Rules.

5.2 The customer is obliged:

5.2.1 Accept and pay for the service in a timely manner in accordance with the terms of the section 6 “Terms of acceptance and transfer and payment for services” of this Agreement.

5.2.2.2 Notify the Contractor in time about missing classes.

5.2.3 Comply with the Rules of Learning.

5.2.4 Do not copy, do not alienate or distribute materials, transferred to the Customer by the Contractor for temporary free use.

5.2.5 If it is impossible to attend the course for any reason, the Customer is obliged to notify the Contractor about this by e-mail to e-mail, indicated on the website of the Contractor. The conditions for termination of the Agreement are set out in paragraphs. 7.6. The contract. The Agreement is considered terminated from the moment the Contractor receives the corresponding e-mail.

Terms of acceptance and transfer and payment for services

6.1 Payment for services is carried out at prices, indicated on the website of the Contractor. All expenses for the transfer of funds for the services provided under this Agreement shall be paid by the Customer.

6.2 The amount payable for the Services is determined in the confirmation letter, which is sent by the Contractor.

6.3 The customer undertakes to pay for the services within five working days from the receipt of the confirmation letter, but not later than, specified therein for the respective payment.

6.4 If the Customer is unable to attend training, it is possible to freeze the balance of funds and use it within one calendar year from the date of termination of training. The Customer is obliged to notify the Contractor about this by e-mail to the official email of the Contractor contact@ecole.kiev.ua.

6.5 If the Customer misses classes for any reason, paid funds to the Customer are not returned.

6.6 Refund of paid funds in full, minus payment for attendance, carried out at the request of the Customer, subject to, if no more than 10 (ten) calendar days.

Refunds are made on the basis of an application in any form from the Customer. The application can be submitted to the Contractor directly or by sending it to the e-mail address contact@ecole.kiev.ua.

Term of the Agreement, the procedure and grounds for amending or terminating the Agreement

7.1 This Agreement shall enter into force after the Customer completes the section 3 of this Agreement and terminates upon completion of the last lesson of the training course.

7.2 The terms of the Agreement may be changed by agreement of the Parties by concluding an Additional Agreement to the Agreement.

7.3 The Contractor has the right to terminate the Agreement unilaterally, if the Customer does not comply with or violates the. 6.3 and section requirements 6 “Terms of acceptance and transfer and payment for services” of this Agreement. Termination of the Agreement on the specified basis does not relieve the Customer from liability for non-fulfillment or violation of obligations under the Agreement.

7.4 The Contractor has the right to terminate the Agreement unilaterally if it is impossible to continue its implementation on the basis of the. 4.1.5. of the Agreement or in case of systematic violation by the Customer of the Training Rules

7.5 The Customer has the right to terminate the Agreement unilaterally due to the inability to attend the course for any reason or if the services, due to their characteristics or other circumstances, do not satisfy the interests of the customer.

7.6 In case of early termination of the Agreement by the Customer, money paid to the customer is not returned.

Confidentiality

8.1 By signing this Agreement, The Contractor and the teachers involved in the provision of services undertake not to disclose confidential information and information to third parties, which may become known to the Contractor upon fulfillment of the terms of this Agreement.

8.2 By signing this Agreement, the Customer gives his consent/permission to the processing of Personal Data (any information, concerning the Customer, including, but not exclusively information about the surname, own name, patronymic, passport data, identification code, dates and places of birth, citizenship, address of residence and registration, family, social, property status, education, professions, income, contact phone numbers, email addresses, etc.. (Further – “Personal Information”) Contractor and teachers involved in the provision of educational services.

8.3 The Contractor and the teachers involved in the provision of educational services undertake to ensure the appropriate level of their protection and prevention of disclosure in accordance with the requirements of the current legislation of Ukraine.

Disputes and liability of the Parties

9.1 controversy, arising between the Parties, resolved through negotiations, in case of failure to reach agreement – in accordance with the procedure established by the current legislation of Ukraine.

9.2 When resolving issues, not regulated by this Agreement, apply the norms of the current legislation of Ukraine.

9.3 In case of non-fulfillment or improper fulfillment of its obligations under this Agreement, The parties are responsible, provided by the current legislation of Ukraine.

Force Majeure

10.1 The parties are released from liability for partial or complete failure to fulfill obligations under this Agreement, if this non-performance was caused by force majeure circumstances. Force majeure refers to the circumstances of extraordinary events., that arose after the signing of this Agreement and which the Parties could not foresee, nor prevent in the usual way. These force majeure events include floods., fires, earthquakes and other natural phenomena, as well as military operations, any decisions of authorities and management, as well as any other circumstances, which lie outside the control of the Parties and directly impede the execution of this Agreement.

10.2 In case of non-fulfillment or partial fulfillment of obligations under this Agreement as a result of force majeure circumstances, Side, subjected to such circumstances, shall promptly send written notice to the other Party within 5 (five) calendar days from the date of occurrence of such circumstances.

10.3 When the said circumstances ended, one party must give written notice to the other party under any circumstances within 5 (five) calendar days from the date of termination of the circumstances. The message must include the time., from which the Party proposes to continue fulfilling its obligations under the Agreement.

10.4 Sufficient proof of force majeure is a document, issued by the Chamber of Commerce and Industry of Ukraine (relevant regional chamber).

10.5 If these circumstances continue for more than 30 (thirty) calendar days, each Party has the right to terminate this Agreement unilaterally by sending a written notice to the other Party. Such notification shall be sent by the Party, which intends to terminate the Agreement, to the other Party in writing at least 10 calendar days before the expected date of termination of the Agreement. In this case, the Contractor shall return to the Customer the transferred prepayment, with the exception of the cost of actually rendered services., in order, provided by the Parties.
Final provisions

11.1 The Contractor has the right to make changes to the Agreement unilaterally by posting new editions on the Contractor's website. Changes come into force from the next day after posting on the Contractor's website.

In case of involvement of third parties, FOP “Viksman Maria Evgenievna” acts as an intermediary on a gratuitous basis.
